Form of partnership – TECES FOUNDER
The TECES Founder status is awarded to entities who established the Institute, or joined it after its establishment, and assumed all obligations associated with founder status at the Institute.
Statutory rights
- appointment of own representative as an Institute Board member, with an equal position in co-decision-making regarding the development of TECES,
- right to be informed of the Institute’s business operations,
- right to use a registered brand/service name or other name for purposes and under terms agreed upon by means of a written agreement or contract,
- discount for services provided by the Institute,
- priority in collaboration and use of results in joint Slovenian or international projects,
- right to use funds pooled for agreed-upon purposes, under agreed-upon terms,
- right to propose for discussion to the competent authority an issue that is of joint importance to the founders,
- in securing, or collaborating in, assignments organised by the Institute, founders are granted priority before the involvement of other interested non-founding entities,
- individually agreed-upon benefits in accordance with guidelines from the Institute Board,
- other rights determined by the Founding Agreement, the Statute and current legislation.
Additional benefits
- discounts up to 15 % for TECES’ R&D services,
- discounts up to 15 % for activities (education, training…) conducted and organised by TECES,
- other discounts for various activities under the auspices of TECES (joint procurement of hardware or software, visits…),
- possibility of using TECES’ existing R&D infrastructure,
- availability of software tools owned by TECES (Ansys, Matlab…) within the frameworks of conditions for use set by specific manufacturers,
- possibility of using the results of partners’ joint projects,
- possibility of joint applications to tenders for co-financing R&D activities and infrastructure subsidised on the basis of state, European or other tenders, and various Slovenian or EU incentives (e.g. European Structural Funds for regional development, 7th framework programme…),
- possibility of collaboration in joint promotional activities,
- mediation regarding enquiries from, and establishing contacts with, domestic and foreign business or other associations,
- integration and brief presentation on the TECES information portal (pages featuring presentations of founders),
- e-notification with the latest information from TECES’ fields of activity,
- availability of the e-notification system for registered users of information portals under the auspices of TECES (tenders, events, notifications, inquiries…)
Obligations
- payment of annual contributions (the amount is determined by an Institute Board decision for the period of a calendar year),
- payment of entry fee for new founders (the amount is determined by an Institute Board decision for the period of a calendar year)
- other obligations defined by the Founding Agreement, this Statute or an Institute Board decision.
Pursuant to decision No 2006-17 of the Board of the TECES Institute, adopted on 13 December 2006, the following shall apply: |
- founder rights and obligations are identical for all founders, irrespective of their legal status or size;
- the annual contribution for founders amounts to 1,500 € + VAT for a particular year;
- the entry fee for new founders is equivalent to double the amount of the annual contribution (2 x the annual contribution for founders, which amounts to 3,000 € + VAT), and is payable in two instalments; the same applies to all enterprises associated with an existing TECES founder;
- the entry fee does not include the annual contribution for a particular year.

Pursuant to Article 25 of the Statute of TECES Institute, the following procedure must be implemented for a new founder to join the Institute:
- an entity wishing to become a founder of the Institute must submit to the Institute a written application for obtaining the status of TECES founder.
The written application must be accompanied by a brief presentation of the applicant’s activities, the profit and loss account and balance sheet for the past five years;
- the application for obtaining founder status, including the attachment, shall be considered and voted upon by the Board of the TECES Institute;
- in case the Institute Board gives its consent for the accession of a new founder, the new founder concludes a special accession agreement with the Institute.
- in case the Institute Board refuses to give its consent for the accession of a new founder, the application is refused with a suitable explanation The Institute Board may also declare whether it upholds the membership of the interested entity in the Institute.
- in case the consent has been given and an accession agreement signed with the new founder, the existing founders must sign an annex to the Founding Agreement of the Institute for this change to take effect in the court register. The required changes to the Statute of the Institute are adopted as well (due to the lengthy procedure, the said acts are adopted or amended up to twice a year).
